Terms & Conditions of Use

These Terms of Service ("Agreement") govern your use of Ettos Ltd's traceability platform and related services ("Subscription Service"). By subscribing to or using our services, you agree to these terms. We reserve the right to update this Agreement periodically, with notifications provided via email or in-app notice.
1. Definitions
- Subscription Service: Ettos's web-based platform accessible via ettos.io or related URLs.
- Order Form: The Ettos-approved proposal detailing subscription specifics, including products, fees, and term length.
- Product Passport: Digital profile for product batches ("Ettos ID") hosted on our platform.
- Customer Data: Data you upload to or create within the Subscription Service.
- Confidential Information: Sensitive information exchanged between you and Ettos.
- Data Hosting Fees: Charges for continued hosting of Customer Data after Subscription Term ends.
2. Use of Services
Paid Brand Accounts:
- Paid subscribers ("Brands") receive full platform access as detailed in their Order Form.
- Brands are responsible for all associated subscription fees.
Free Supplier Accounts:
- Certain users ("Suppliers") are granted free access to limited platform features.
- Suppliers acknowledge feature limitations and support restrictions.
All Users must ensure compliance with this Agreement. Ettos may modify services periodically.
Prohibited Use: You must not reverse engineer, modify, misuse, or share login details improperly.
Sensitive Information: Do not upload sensitive personal or financial data.
3. Fees and Payment
- Subscription Fees for Brands are outlined in your Order Form and payable in advance.
- Fees remain fixed during the initial term unless additional features or limits are exceeded.
- Renewal fees may be adjusted with 30 days' notice.
- Data Hosting Fees apply after subscription ends.
Payments are processed via your authorised method or invoice. Non-payment may result in suspension.
4. Term and Termination
- Subscriptions automatically renew unless cancelled with 30 days' notice.
- Early cancellations are non-refundable.
- Either party may terminate immediately for insolvency or unrectified material breaches.
Upon termination, data hosting terms apply, and platform access becomes read-only.
5. Customer Data
- You retain ownership of Customer Data.
- Ettos processes Customer Data solely to provide and improve services.
- Data transfers comply with UK data protection laws.
- On termination, data is returned or deleted per your instructions and regulatory compliance.
6. Intellectual Property
- Ettos retains ownership of platform content and intellectual property.
- Customer feedback may be freely used by Ettos for improvements.
7. Confidentiality
- Both parties agree to protect Confidential Information.
- Disclosure permitted only as legally required.
8. Publicity
- Ettos may reference your company name/logo unless you opt-out via hello@ettos.io.
9. Indemnification
- You indemnify Ettos against third-party claims arising from your misuse or breach of this Agreement.
10. Liability and Warranties
- Ettos guarantees industry-standard service levels and remedies deficiencies promptly.
- Ettos's total liability is limited to fees paid in the preceding 12 months.
- Neither party is liable for indirect or consequential damages.
11. Miscellaneous
- UK law governs this Agreement.
- Notices: via email to hello@ettos.io or postal address provided below.
- Neither party is liable for events beyond their reasonable control.
- Assignment requires mutual consent, except for mergers or acquisitions.
- This Agreement represents the entire understanding between parties.
